Anonim şirketler genel kurullarında toplantı ve karar yeter sayıları

Abstract

Bu makalede anonim şirketlerde genel kurul toplantı ve karar yeter sayıları konusu incelenmiştir. Konu gerek 6762 sayılı mülga Türk Ticaret Kanunu gerekse yürürlükte olan 6102 sayılı yeni Türk Ticaret Kanu- nu’ndaki hükümler incelenerek karşılaştırmalı olarak ele alınmıştır. Genel kurul toplantı ve karar yeter sayıları ile ilgili öğretideki farklı görüşler ve uygulamadaki duruma da değinilmiştir.In this essay the concepts of required majority for general sharehol- ders’ meeting and for the decision making in a joint stock company are examined within the framework of the provision of the new Turkish Com- mercial Code (Act no. 6102) compared with the provisions of the previous Turkish Commercial Code (Act no. 6762). Special references are made to different opinions in the doctrine and court practice in connection with the determination of required majority both for conducting a session of the general shareholders and decision making as well.
